Jay Clayton, Sr Policy Advisor & Of Counsel, Sullivan & Cromwell, Former Chairman of the U.S. Securities and Exchange Commission

Jay Clayton, who recently served as the Chairman of the U.S. Securities and Exchange Commission, is a Senior Policy Advisor and Of Counsel to Sullivan & Cromwell. Mr. Clayton's practice centers on advising institutions, board of directors and individuals on governance, markets and regulatory matters, particularly where multidisciplinary advice and practical experience are valued. As Chairman of the SEC from May 2017 to December 2020, Mr. Clayton focused on modernizing the regulation and oversight of our equity and fixed income markets, concentrating on the interests of long-term investors. In addition, under his leadership, the women and men of the SEC addressed various market developments and emerging risks, including the 2020 COVID-19 economic shock, the digitization of securities and other assets, the Brexit and LIBOR transitions, and various cybersecurity matters. Prior to Mr. Clayton’s government service, he spent over 20 years at Sullivan & Cromwell where he was a member of the management committee, co-managing partner of the General Practice Group and co-head of the Cybersecurity Group.

Jeh Johnson, Partner, Paul, Weiss, Rifikind, Wharton & Garrison, Former US Secretary of Homeland Security

A partner in the Litigation Department, Jeh Johnson has had a distinguished career combining private law practice at Paul, Weiss and senior-level public service, including three Senate-confirmed presidential appointments. In public life, he served as Secretary of Homeland Security (2013-2017), General Counsel of the Department of Defense (2009-2012), General Counsel of the Department of the Air Force (1998-2001) and as an Assistant United States Attorney for the Southern District of New York (1989-1991). In private practice, Secretary Johnson is an experienced litigator and trial lawyer, and a Fellow in the American College of Trial Lawyers. Since returning to Paul, Weiss in 2017, Secretary Johnson also advises clients, including high-tech companies and government contractors, on the legal aspects of cybersecurity, national security, data privacy, government contracting, crisis management, high-stakes litigation and regulatory matters. Secretary Johnson is currently a member of the board of directors of Lockheed Martin and U.S. Steel and is a trustee of Columbia University. In June 2020 the Chief Judge of New York appointed Secretary Johnson to assess equal justice in the state court system. After a four-month investigation, Secretary Johnson issued a 100-page public report recommending a number of changes, all of which the Chief Judge said would be adopted.

Byron Loflin, Global Head of Board Advisory, Nasdaq

Byron Loflin is Global Head of Board Advisory at Nasdaq, where he leads board assessments and boardroom training for Nasdaq Governance Solutions. He is the founder and former CEO of the Center for Board Excellence (CBE) – acquired by Nasdaq in 2019 – and is architect of CBE’s unique board assessment and advisory platform. Byron is recognized in the governance community for developing unique products that address board dynamics, corporate culture, accountability and performance. His experience and expertise are in the design and administration of assessments and advising board chairs, boards, committees, directors and executive management in a full range of corporate governance matters including strategic alignment, best practices, board refreshment, diversity, structures and corporate planning. He and his team have performed several hundred third-party board, committee, peer and CEO self-assessments for organizations of all structures and sizes.

David Lawrence, Founder & Chief Collaborative Officer, RANE

David Lawrence is the Founder and Chief Collaborative Officer of RANE. He previously served for 20 years as Associate General Counsel and Managing Director at Goldman Sachs. His role as the global head of the Business Intelligence Group covered a wide range of legal, regulatory, diligence, and transactional responsibilities. David led the development of Wall Street’s first design and implementation of controls and technology to safeguard against money-laundering, illicit finance, terrorism financing, foreign corrupt practices, and violations of economic sanctions. In 2014, David received the FBI Director’s Award for his efforts in combating international terrorism.Prior to Goldman Sachs, David served for 10 years as an Assistant US Attorney, in the Southern District of New York. He served as the Deputy Chief of the Criminal Division, Chief of the Public Corruption and General Crimes Units, and as the office’s first Chief Ethics Officer.

Lisa Shalett, Founder, Extraordinary Women on Boards

Lisa Shalett is a former Goldman Sachs Partner who now serves as a corporate advisor and independent board director. Well-known as a trusted connector and sought-after thought partner, she has a remarkable breadth of leadership and operational experience over her 25+ year career. Lisa is fascinated by risk and the value of seeking out multiple perspectives, two aspects of her background that have helped shape the approach and purpose of Extraordinary Women on Boards. While at Goldman Sachs, her experience as the Chief Operating Officer of Global Compliance, Legal and Audit enabled her to work with many of the most talented risk managers in the world, and learn the skill of asking smart questions. In her role leading Goldman’s brand during the financial crisis, she mastered how to navigate crises, articulate purpose, manage stakeholder relationships and communications, and strategically manage corporate reputation and brand in a digital world. Post-Goldman, in the startup ecosystem, Lisa embraced technology and helped large companies stay innovative and growth companies be disruptive. All of these skills have proven tremendously relevant to her boardwork, and led her to focus on ways board directors add value. Lisa currently serves on the boards of PennyMac Financial (NYSE: PFSI), on the Audit and Nominating/Governance Committees, AccuWeather (private, family-owned), where she leads the Marketing Committee, and digital agency Bully Pulpit Interactive (private, PE-backed). She has also served on the boards of Brookfield Property Partners (NASDAQ: BPY) and PerformLine (private, venture-backed). On the non-profit side, she chairs the board of Generation W, and serves on the International Advisory Board of French business school EDHEC. Her article Why Corporate Directors Need to Focus on Trust appeared in the People + Strategy Journal in Summer 2020. Lisa has an MBA from Harvard Business School and a BA, summa cum laude, in East Asian Studies (Japan) from Harvard.

Jake Siewert, Managing Director, Head of Global Public Policy and Political Risk, Warburg Pincus, Former White House Press Secretary

Jake Siewert is based in New York as a Managing Director and the Head of Global Public Policy and Political Risk at Warburg Pincus, where he also oversees Environmental, Social and Governance Strategy. Mr. Siewert joined Warburg Pincus in 2021 from Goldman Sachs where he was a Partner and directed the firm’s Global Communications, Content and Marketing Efforts. Before he joined Goldman Sachs in 2012, Mr. Siewert worked as a Counselor to Secretary of the Treasury, Timothy F. Geithner, during the global financial crisis and its aftermath. Prior to his service in the Obama Administration, he was an Executive at Alcoa where he served on the Management Committee and had oversight of Business Development, Sustainability, Environment, Health and Safety, Government Affairs and Communications during his eight years there. Prior to that, Mr. Siewert worked for eight years in the White House during the Clinton Administration in a variety of posts, including an Advisor to the Director of the National Economic Council and as the White House Press Secretary. He graduated from Yale College with a B.A. Summa Cum Laude in Humanities.
Frances F. Townsend, Executive Vice President for Corporate Affairs, Corporate Secretary, and Chief Compliance Officer; former Assistant for U.S. Homeland Security and Counterterrorism

Frances F. Townsend has served as Activision Blizzard's Executive Vice President for Corporate Affairs, Corporate Secretary, and Chief Compliance Officer since March 2021. In this role she oversees Government Affairs, Public Policy, and Communications among other corporate functions. Prior to joining Activision Blizzard, Fran served as vice chairman, general counsel, and chief administrative officer at MacAndrews & Forbes, Inc. Prior to that, she was a corporate partner with Baker Botts LLP. From 2004 to 2008, Fran served as the assistant for homeland security and counterterrorism to President George W. Bush, chairing the Homeland Security Council during a pivotal period for the United States. Fran is on several non-profit boards including the Atlantic Council, the Center for Strategic and International Studies, and the Council on Foreign Relations. She also is the Co-Chair of the Council on Foreign Relations-sponsored Independent Task Force on Preparing for the Next Pandemic.
Paul Verbinnen, Partner - Co-Chairman Of North America, FGS Global

Paul Verbinnen is actively involved with clients including public corporations, private companies, K-12 and collegiate institutions and high-profile individuals, advising on M&A, proxy fights, defensive planning, special situations and crises, IPOs, executive transitions, restructurings, investor relations and corporate positioning programs. He frequently works with companies and boards on scenario planning and preparedness.His prior firm (SVC) led the North American Mergermarket league tables for more than 25 years and was ranked #1 globally for five years. The Company was designated by Chambers & Partners as a Band 1 firm for crisis and risk management, and Band 1 for litigation support. In 2013 Bloomberg called SVC, "Wall Street's go to crisis firm."Before SVC, Paul was executive vice president, international for The Ogilvy Public Relations Group, splitting his time between London and New York. From 1984 through 1988, he was head of Ogilvy's Hong Kong public relations office and, from 1986-88 he was regional director for Asia/ Pacific. Prior to joining Ogilvy in New York, he was a co-founder of a sports marketing company that worked with professional and Olympic athletes.Paul has political science degree from Syracuse University, is a member of the Council on Foreign Relations (CFR), and a National Council member of American Enterprise Institute (AEI). He is a co-author (along with Thomas A. Cole, chair emeritus of Sidley's executive committee) of "Collaborative Crisis Management; Prepare, Execute, Recover, Repeat," due to be published by the University of Chicago Press in the fall of 2022.
